Preamble
These Terms of Service (hereinafter the "Terms") govern access to and use of the Lianayo platform, accessible via the Lianayo website and mobile application (hereinafter collectively the "Platform"). The Platform is published by Lianayo (hereinafter "Lianayo", "we" or "our"). By accessing or using the Platform, you acknowledge that you have read, understood and unconditionally accepted these Terms. If you do not accept these terms, we invite you not to use the Platform.
1. Definitions
To facilitate the reading of these Terms, the following terms have the meanings set out below:
- Platform :
- the Lianayo website and mobile application, along with all associated services.
- User :
- any person accessing the Platform, whether registered or not.
- Member :
- any User who has created an account on the Platform.
- Restaurant Owner :
- any professional operating a restaurant establishment who has claimed or created a listing on the Platform.
- Content :
- any information published on the Platform, whether originating from Lianayo, Members or Restaurant Owners (texts, photos, reviews, ratings, comments, menus, etc.).
2. Purpose of the Platform
Lianayo is a community platform for discovering and booking restaurants. It allows:
Users and Members to:
- discover restaurants listed on the Platform;
- consult establishment listings, reviews and recommendations;
- make online reservations when this feature is offered by the Restaurant Owner;
- share their experiences through reviews, ratings and photos.
Restaurant Owners to:
- claim or create their establishment's listing;
- manage their business information (hours, menus, photos, etc.);
- gain visibility among a community of potential customers;
- manage their reservations through the tools made available to them.
Lianayo acts exclusively as a technical intermediary between Users and Restaurant Owners. Lianayo is neither a party to the restaurant contract, nor responsible for the service provided by the Restaurant Owner.
3. Access to the Platform
Access to the Platform is free for Users. Some features are reserved for Members and require the creation of an account.
To create an account, the User must be at least 18 years old or have authorization from their legal representatives. By creating an account, the User declares that they have the legal capacity to enter into contracts.
Access to the Platform requires a working internet connection and compatible equipment. The costs associated with this connection are the User's responsibility.
4. Registration and Member Account
4.1. Account Creation
Registration requires the provision of accurate and up-to-date information: last name, first name, email address, phone number and password. The Member undertakes to update this information if it changes.
4.2. Confidentiality of Credentials
The Member is solely responsible for the confidentiality of their password and all activity carried out from their account. In the event of unauthorized use, the Member undertakes to inform Lianayo without delay.
4.3. Account Deletion
The Member may delete their account at any time from their profile settings or by contacting support. Deletion results in the loss of access to Member-only features and the anonymization or deletion of published Content, under the conditions set out in the privacy policy.
5. Reservations
5.1. Nature of the Reservation
When a Member makes a reservation via the Platform, this constitutes a request transmitted to the Restaurant Owner. The Restaurant Owner may accept, refuse or propose a modification to the reservation. The final confirmation rests with the Restaurant Owner.
5.2. Member Commitment
The Member undertakes to show up on the agreed date and time. In the event of inability to attend, they are invited to cancel or modify their reservation on the Platform as soon as possible, out of respect for the Restaurant Owner and other customers.
5.3. Restaurant Owner's Specific Conditions
Some reservations may be subject to specific conditions set by the Restaurant Owner (deposit, cancellation deadline, minimum number of guests, etc.). These conditions are brought to the Member's attention before the reservation is confirmed.
5.4. Lianayo's Role
Lianayo facilitates the connection and transmission of information, but is not a party to the contract concluded between the Member and the Restaurant Owner. Any dispute relating to the restaurant service falls within the relationship between the Member and the Restaurant Owner.
6. Reviews and Content Published by Members
6.1. Authenticity
Reviews published on the Platform must reflect a real and personal experience. Lianayo reserves the right to verify the authenticity of reviews and to refuse or remove any content that is manifestly contrary to this requirement.
6.2. Member Commitments
By publishing Content (reviews, photos, comments, ratings), the Member guarantees that:
- the Content reflects their genuine personal experience;
- they hold all necessary rights to publish it, including copyright over photos;
- the Content does not infringe any third-party rights (right of publicity, right to privacy, intellectual property rights);
- the Content is not defamatory, offensive, obscene, discriminatory, hateful, or contrary to law or public order.
6.3. License Grant over Content
By publishing Content on the Platform, the Member grants Lianayo a non-exclusive, royalty-free, worldwide license for the legal duration of copyright, allowing Lianayo to host, reproduce, adapt, translate and distribute this Content on the Platform and its communication channels, in the context of operating the service.
6.4. Moderation
Lianayo reserves the right to moderate, modify or remove any Content that does not comply with these Terms, without prior notice or compensation. The moderation decision may be contested by the Member by contacting support.
6.5. Restaurant Owner's Right of Reply
The Restaurant Owner has a right of reply to reviews published about their establishment. This reply is subject to the same moderation rules as the reviews themselves.
7. Restaurant Owner Commitments
7.1. Claiming and Creating a Listing
Any Restaurant Owner may claim their establishment's listing or create a new one. The claim is subject to a verification process designed to confirm the quality of legal representative or authorized agent of the Restaurant Owner.
7.2. Accuracy of Information
The Restaurant Owner undertakes to provide and keep up-to-date accurate, complete and truthful information about their establishment: business name, address, hours, menus, prices, photos, reservation terms, etc.
7.3. Quality of Service
The Restaurant Owner is solely responsible for the restaurant service provided to their customers, the quality of products served, compliance with applicable health and safety standards, and all legal or regulatory obligations related to their business.
7.4. Respect for Members
The Restaurant Owner undertakes to honor confirmed reservations, to welcome Members under conditions consistent with the description published on their listing, and to fulfill the commitments made via the Platform.
7.5. Commercial Terms
The commercial terms applicable to Restaurant Owners (paid services, payment terms, etc.) are governed by specific contracts separate from these Terms.
8. Intellectual Property
8.1. Platform Elements
All elements of the Platform — design, logos, the "Lianayo" brand, editorial content, source code, databases — are the exclusive property of Lianayo or its partners, and are protected by applicable intellectual property laws. Any reproduction, representation, modification or exploitation, in whole or in part, without prior written authorization from Lianayo, is strictly prohibited.
8.2. Member and Restaurant Owner Content
Members and Restaurant Owners retain intellectual property rights over the Content they publish, subject to the license granted to Lianayo under the conditions set out in article 6.3.
9. Limitation of Liability
9.1. Role as Intermediary
Lianayo acts as a technical intermediary. As such, Lianayo cannot be held liable for:
- the quality, conformity or safety of services provided by Restaurant Owners;
- the accuracy, completeness or currency of information published by Restaurant Owners;
- the content of reviews and publications by Members;
- disputes arising between Members and Restaurant Owners.
9.2. Platform Availability
Lianayo implements reasonable means to ensure the availability and proper functioning of the Platform. However, Lianayo cannot guarantee uninterrupted availability and cannot be held liable for interruptions due to maintenance operations, technical failures, or force majeure events.
9.3. Force Majeure
Lianayo shall not be liable for any failure to fulfill its obligations resulting from a force majeure event as defined by applicable law and case law.
10. Personal Data
The processing of personal data of Users and Members is carried out in accordance with applicable laws and regulations on personal data protection. The detailed terms of this processing are set out in Lianayo's Privacy Policy, which forms an integral part of these Terms.
11. Suspension and Termination
11.1. By the Member
The Member may at any time cease using the Platform and delete their account under the terms provided in article 4.3.
11.2. By Lianayo
Lianayo reserves the right to suspend or terminate access to the Platform for any Member or Restaurant Owner in the event of a breach of these Terms, fraudulent behavior, or use inconsistent with the purpose of the Platform. Suspension may occur without notice when the seriousness of the breach warrants it.
12. Modification of the Terms
Lianayo reserves the right to modify these Terms at any time, in particular to adapt them to changes in the Platform, legislation or its services. Members will be informed of substantial changes by email or by a message displayed on the Platform, at least fifteen (15) days before they come into effect. If the Member does not accept the changes, they may delete their account.
13. Applicable Law and Dispute Resolution
These Terms are governed by the law applicable at Lianayo's registered office, without prejudice to the mandatory consumer protection provisions applicable in the User's country of residence. In the event of a dispute, the parties shall endeavor to seek an amicable solution before any legal action. To this end, the User may contact Lianayo support at the contact details provided in article 14.
